SPECIAL RESOLUTIONS
The new BC Societies Act compels our organization to review our bylaws and constitution. Or Association’s Board of Directors has prepared and endorsed a package of changes to these documents, which will be voted on by the membership via Special Resolutions.
SPECIAL RESOLUTION – Revision to Constitution
Whereas:
• there is a new Societies Act which requires societies to incorporate into their constitution whether they are a member-funded society;
• the Society qualifies as a member-funded society;
• the Board of Directors has considered the wording of the Society’s Constitution attached as Schedule “A” ; and
• the Board of Directors has considered and recommends a replacement of the society’s Constitution, in the form attached as Schedule “B”; and
Therefore, be it resolved that the Constitution of the Society be replaced with the Constitution attached as Schedule “B”.
SPECIAL RESOLUTION – Revision to Bylaws
Whereas:
• the Board of Directors has considered the wording of the society’s Bylaws attached as Schedule “C” ; and
• the Board of Directors has considered and recommends a replacement of the society’s Bylaws, in the form attached as Schedule “D”; and
Therefore, be it resolved that the Bylaws of the Society be replaced with the Bylaws attached as Schedule “D”
